These Terms & Conditions govern access to and use of the SPRINKLER PLATE website, including its product catalog, technical information, product inquiries, and Request for Quotation (RFQ) facilities.

The website is primarily intended for business-to-business (B2B) purposes, including use by distributors, importers, wholesalers, contractors, installers, OEM partners, and other commercial customers.

By accessing or using this website, you agree to these Terms & Conditions. If you do not agree, you should discontinue use of the website.

Any purchase or supply of products is subject to the specific quotation, order confirmation, sales agreement, and other commercial terms agreed between the parties.

3. Products and Services

SPRINKLER PLATE specializes in the manufacturing, OEM production, wholesale supply, and international distribution of fire sprinkler accessories, including:

  • Sprinkler escutcheons (rosettes).
  • Sprinkler guards.
  • Sprinkler shields.
  • Customized and OEM-manufactured products.

Our website provides product descriptions, technical specifications, images, available finishes, dimensions, and other product-related information to assist business customers in evaluating potential purchases.

Product availability, specifications, materials, dimensions, finishes, minimum order quantities, and customization options may vary by product and order.

We reserve the right to modify, update, discontinue, or improve products and services, subject to any binding commitments already agreed with a customer.

4. Product Information and Technical Specifications

We make reasonable efforts to ensure that the information published on this website is accurate and up to date. However, product images, drawings, descriptions, dimensions, colors, and technical specifications are provided for general informational purposes unless expressly incorporated into an agreed quotation or sales contract.

Minor differences in appearance, color, finish, or presentation may occur due to manufacturing tolerances, lighting, display settings, material batches, or production processes.

Technical information displayed on the website does not constitute a guarantee of suitability for a particular project, application, fire protection system, or regulatory requirement.

Customers are responsible for verifying that selected products meet the technical, dimensional, installation, and regulatory requirements applicable to their intended use.

Where a product is required to comply with a particular standard, certification, approval, or specification, the applicable requirement must be expressly identified and confirmed in writing before an order is placed.

No certification, approval, or compliance status should be assumed solely from the appearance of a product in the catalog.

5. Requests for Quotation (RFQs)

The website may allow visitors to submit RFQs for standard products, bulk orders, OEM manufacturing, private-label production, or customized solutions.

An RFQ is a request for commercial information and does not constitute a binding purchase order, sales contract, or commitment by SPRINKLER PLATE to supply products.

Submitting an RFQ does not guarantee product availability, acceptance of the requested specifications, pricing, production capacity, or delivery within a particular period.

We may request additional information to evaluate an inquiry, including:

  • Product codes and quantities.
  • Required dimensions, materials, and finishes.
  • Technical drawings or reference samples.
  • OEM or private-label requirements.
  • Target delivery dates and destination.
  • Applicable technical standards or certification requirements.

We reserve the right to accept, decline, or request clarification regarding any inquiry.

A binding sales agreement will arise only when an order has been accepted through an authorized written order confirmation, signed agreement, or other mutually agreed contractual process.

6. Quotations and Pricing

Unless expressly stated otherwise, prices and quotations are provided individually in response to customer inquiries.

A quotation may specify product details, quantities, unit prices, currency, minimum order quantities, production lead times, payment conditions, delivery terms, quotation validity, and other applicable commercial conditions.

Unless otherwise stated in the quotation, prices exclude shipping, freight, insurance, customs duties, import taxes, local taxes, and other charges associated with international delivery.

Quotations are valid only for the period stated in the relevant document. If no validity period is specified, SPRINKLER PLATE may confirm or revise the quotation before accepting the order.

Any changes to product specifications, quantities, materials, finishes, packaging, or delivery requirements may result in revised pricing and lead times.

In the event of a discrepancy between general website information and a valid, accepted quotation or sales agreement, the specific written commercial terms agreed by the parties shall prevail for the relevant transaction.

7. Orders and Order Acceptance

All orders are subject to written acceptance by SPRINKLER PLATE.

Before accepting an order, we may review the customer’s requirements, technical specifications, production capacity, payment arrangements, export restrictions, and other relevant commercial considerations.

An order may not be amended or cancelled unilaterally after acceptance unless permitted by the applicable sales agreement or approved in writing by both parties.

Changes or cancellations relating to customized, OEM, or private-label products may be subject to additional costs for materials, tooling, engineering, production, packaging, or work already completed.

The applicable quotation, accepted purchase order, order confirmation, and any signed sales agreement shall determine the contractual obligations for each transaction.

8. OEM, Private-Label, and Customized Products

SPRINKLER PLATE may provide OEM manufacturing, private-label production, and customized solutions subject to technical feasibility, production capacity, and written agreement.

Customers requesting customized products are responsible for ensuring that the drawings, dimensions, specifications, trademarks, designs, and other materials they provide are accurate and that they have the legal right to use them.

Unless otherwise agreed in writing, customer-supplied drawings, designs, specifications, trademarks, and other proprietary materials remain the property of the customer or their respective rights holders.

The ownership and permitted use of tooling, molds, dies, engineering work, production files, and other manufacturing assets developed or used for a project shall be determined by the relevant written agreement.

No ownership of SPRINKLER PLATE’s pre-existing manufacturing processes, technical know-how, designs, or proprietary materials is transferred to a customer unless expressly agreed in writing.

We may decline customized production requests that infringe third-party rights, violate applicable law, or cannot reasonably be manufactured to the requested specifications.

Returns require prior written authorization from SPRINKLER PLATE. Products must not be returned without agreed return instructions.

Customized, OEM, and private-label products may be subject to specific return and cancellation conditions agreed before production.

Nothing in this section excludes or restricts rights or remedies that cannot lawfully be excluded or restricted.

15. Warranty and Limitation of Remedies

Any express product warranty, warranty period, permitted use, exclusions, and remedies shall be set out in the applicable quotation, sales agreement, warranty document, or other written contractual terms.

Unless expressly stated otherwise, information on this website does not create a separate product warranty.

To the extent permitted by applicable law, SPRINKLER PLATE shall not be responsible for defects, damage, or failures caused by improper installation, misuse, unauthorized modification, unsuitable storage, improper handling, normal wear, or use outside the agreed specifications.

Where a product is confirmed to be non-conforming under an applicable warranty or sales agreement, the available remedies shall be determined by that agreement and applicable law.

Nothing in these Terms & Conditions excludes or limits liability for matters for which exclusion or limitation is prohibited by law, including any liability that cannot lawfully be waived for death, personal injury, fraud, or other protected interests.

This section does not override specific obligations expressly accepted by SPRINKLER PLATE in a signed agreement or accepted order.

Accessing third-party websites is at your own discretion and subject to their respective terms and policies.

18. Privacy and Personal Data

When you contact us or submit an RFQ, we may process personal and business contact information for purposes such as responding to inquiries, preparing quotations, managing customer relationships, processing orders, and fulfilling legal obligations.

Personal data will be handled in accordance with applicable data protection legislation, including Türkiye’s Law No. 6698 on the Protection of Personal Data (KVKK), where applicable, and other relevant privacy laws.

Further information about the categories of personal data processed, processing purposes, legal grounds, recipients, retention periods, and applicable rights should be provided in our separate Privacy Policy and, where required, a KVKK information notice.

These Terms & Conditions do not replace those notices or any consent that may be legally required.

19. Force Majeure

Neither party shall be held responsible for a failure or delay to the extent caused by events beyond its reasonable control, provided that the affected party complies with any applicable notification and mitigation obligations.

Such events may include natural disasters, fire, war, terrorism, civil unrest, epidemics, government restrictions, export or import prohibitions, sanctions, significant supply-chain disruptions, transportation interruptions, and failures of essential utilities.

The affected party shall notify the other party within a reasonable period where practicable and take reasonable steps to mitigate the effects.

The consequences of prolonged force majeure, including suspension or termination rights, shall be determined by the applicable sales agreement and mandatory law.

20. Export Controls and Sanctions

All transactions are subject to applicable export control laws, sanctions, customs regulations, and trade restrictions.

SPRINKLER PLATE may refuse, suspend, or cancel a transaction where necessary to comply with applicable law or a binding governmental restriction.

Customers must not request or use products in a manner that violates applicable export controls, sanctions, or other legal restrictions.

21. Changes to These Terms

We may revise these Terms & Conditions from time to time to reflect changes in our business, website functionality, legal requirements, or commercial practices.

The updated version will be published on this page with a revised “Last Updated” date.

Changes to these website terms will not automatically amend an existing sales agreement. Any amendment to an existing commercial contract must be made in accordance with that contract and applicable law.

Your continued use of the website after an updated version is published constitutes acceptance of the revised terms to the extent permitted by applicable law.

22. Governing Law and Dispute Resolution

These Terms & Conditions and disputes arising from the use of this website shall be governed by the laws of the Republic of Türkiye, subject to applicable mandatory legal provisions.

Disputes relating to individual sales transactions shall be resolved in accordance with the dispute resolution provisions of the applicable quotation, order confirmation, or sales agreement, where valid and enforceable.

For international sales contracts, the application of the United Nations Convention on Contracts for the International Sale of Goods (CISG) shall be determined by the Convention’s rules and any valid agreement between the parties concerning its application or exclusion.

Nothing in this section deprives a party of any mandatory rights or protections that cannot lawfully be waived.

23. Severability

If any provision of these Terms & Conditions is held to be invalid, unlawful, or unenforceable, the remaining provisions shall remain effective to the extent permitted by applicable law.

The invalid provision shall be interpreted or replaced, where legally permissible, in a manner that most closely reflects its original lawful purpose.

24. No Waiver

Failure or delay by SPRINKLER PLATE in exercising any right under these Terms & Conditions shall not constitute a waiver of that right.

Any waiver must be established in accordance with applicable law and, where required, made in writing.

25. Entire Agreement and Contractual Priority

These Terms & Conditions govern general use of the website. They do not, by themselves, constitute a complete agreement for the purchase or supply of products.

For a particular transaction, the applicable sales agreement, accepted quotation, order confirmation, and any agreed technical specifications shall govern the commercial relationship.

In the event of inconsistency, the specific terms agreed for that transaction shall prevail over these general website terms to the extent of the inconsistency, subject to mandatory law.
